COMPANY TAX LAW

Course objectives

The course aims at providing students with knowledge of the systematic elements of taxation of firms located in Italy. To this end, it is divided in two parts. The first part analyzes the fiscal discipline of day-to-day company management. The second part instead focuses on the impact of taxation law on company reorganization. It must be noted that, given the progressive evolution of company fiscal discipline from a mere means for tax retrieval to a means for orienting and sometimes favoring firm strategic choices, this course also deals with the implication of the fiscal leverage on the most important extraordinary operations characterizing company start-up, growth and crisis. The course themes are particularly meaningful to a formative path based on the systematic study of managerial strategies of which the course gives an evaluation under a tributary viewpoint. Special attention is therefore devoted to judicial precedents, which are analyzed as case studies in order to simulate the impact of the fiscal variable, and assess the contribution of tributary planning to the study of company dynamics. The students who have attended the course of Business Tax Law and have passed the final examination are put in condition to understand the national system of taxation. They will be more able to individualize the tax norms of the juridical system, to interpret them, to define the scope of their application, to understand the relationships and the mutual connections. Generally, the students should be able to make some technical opinions on fundamental matters of the material and those connected to national tax system.

6 CFU Class program - The various types of companies in the tax system (having commercial or not commercial form, partnership or limited liability ones, mere holdings, professional firms, foreign companies); - Companies taxation: companies as taxpayers; - Double taxation of the companies’ income; - IRPEF: taxpayers and taxable event, types of income, calculation of both the taxable base and the tax due, partnerships transparency; - IRES: taxpayers (resident commercial form companies and not resident companies) and the taxable event, calculation of the tax due; - Enterprise income calculation (simplified small enterprises, OIC compliant different from the microenterprises, IAS/IFRS compliant, livestock and farming enterprises, shipping enterprises); - Transparency and consortium relief regimes; - VAT in the companies’ perspective: taxpayers and relevant transactions, neutrality, VAT group; - IRAP in the companies’ perspective; - Registration tax related to the companies’ documentation; - Not operating companies regime; - Companies and accessory tax obligations; - Companies as withholding tax agents; - Audits, investigations, assessment methods: focus on companies; 9 CFU Course program: Add to the above subjects the following: - Taxation of M&A domestic, cross-border and international transactions (sale and purchase and contribution of a business as a going concern, transfer of controlling stakes, merger, spin-off, transformation, winding up, residence migration); - Tax avoidance and abuse of tax law; - Companies and EU tax aspects.
